OFFER AGREEMENT

1. BASIC TERMS AND DEFINITIONS:

1.1. SELLER – Individual Entrepreneur Fyodor Vadimovich Zubkov.1.2. PUBLIC OFFER – A public proposal from the Seller addressed to an indefinite number of individuals to enter into a purchase and sale agreement for goods remotely (hereinafter referred to as the “Agreement”).1.3. BUYER – An individual using software to view content on the Internet, accepting the terms of this Agreement and expressing a desire to purchase goods, information about which is posted on the website https://teoky.com/.1.4. GOODS – Foreign-produced items, specifically footwear, offered for sale on the website https://teoky.com/.1.5. ONLINE STORE – A website located at https://teoky.com/ where any Buyer can familiarize themselves with the presented goods, their descriptions and prices, select specific goods, a payment method, form and send an order to the Seller.1.6. ORDER – A formal request from the Buyer for the acquisition, payment, and delivery of goods selected on the website https://teoky.com/, sent to the Seller via the Internet.1.7. DELIVERY SERVICE – Local delivery provider.1.8. SITE – The Seller’s website located at https://teoky.com/.

2. GENERAL PROVISIONS

2.1. By ordering goods on the website https://teoky.com/, the Buyer expresses their consent to the aforementioned sales conditions and accepts them.2.2. The present sales conditions for goods, as well as information about the goods presented on the website https://teoky.com/, constitute a public offer in accordance with Article 435 and paragraph 2 of Article 437 of the Civil Code of the Russian Federation.2.3. The Seller has the right to make changes and additions to this Agreement posted at https://teoky.com; such changes take effect from the date of posting on the Seller’s website. The Buyer undertakes to monitor changes and additions made to this Agreement. The most current version of the Agreement is that posted on the Seller’s website.2.4. By clicking the “PLACE ORDER” button while forming an order on the website, the user confirms their agreement with the sales conditions outlined in this Agreement and simultaneously provides consent for processing personal data received during order placement.2.5. This Agreement is considered concluded from the moment a cash receipt confirming full payment for goods is issued/sent by the Seller to the Buyer or from the moment the Seller receives a message about the Buyer’s intention to purchase goods by clicking the “PLACE ORDER” button.

3. SUBJECT OF THE AGREEMENT

3.1. The Seller provides any individual with an opportunity to acquire goods presented on the website https://teoky.com/ for personal, family, or other needs not related to entrepreneurial activities.3.2. This Agreement applies to all types of goods presented on the website https://teoky.com/, as long as such offers with descriptions are present in the site’s catalog.

4. ORDER PLACEMENT PROCEDURE

4.1. Order placement in the online store is carried out by the Buyer independently. When placing an order, the Buyer fills out an electronic order form and sends it to the Seller through the site’s system.4.2. When placing an order on the online store’s website, the Buyer agrees to provide the following registration information:4.2.1. Last name, first name, patronymic of the Buyer or indicated person (recipient);4.2.2. Address where goods should be delivered (if delivery is to Buyer’s address);4.2.3. Email address;4.2.4. Contact phone number.4.3. The name, quantity, assortment, and price of goods selected by the Buyer are indicated in their shopping cart on the online store’s website.4.4. The Seller is not responsible for content and accuracy of information provided by the Buyer when placing an order.4.5. The Buyer is responsible for accuracy of information provided when placing an order.4.6. Descriptions and characteristics of goods in the online store contain essential and reliable information about them.4.7. For any questions regarding properties and characteristics of goods, Buyers can contact Sellers by sending a message to CLIENTSERVICE@TEOKY.COM.4.8. Photographs of goods presented on https://teoky.com/ were taken under special lighting conditions using professional equipment; they are simple illustrations and may differ from actual appearance under different observation conditions.4.9 The price of goods is indicated on https://teoky.com/ next to product images.4.10 The Buyer can receive goods through delivery via local delivery provider.4.11 Delivery of goods is carried out upon agreement between Buyer and Seller through local delivery provider; delivery time consists delivery time, the order processing time specified separately. 4.12 Payment for full delivery cost is made at Buyer’s expense.4.13 Sale of goods is carried out through 100% (one hundred percent) prepayment of product cost.4.14 Payment is made using payment systems on site within no later than 30 (thirty) minutes from placing an order in online store.4.15 Delivery information is provided via email sent to address specified by Buyer; additionally, notification services may be connected via local delivery provider site; delivery times may be changed by Seller, who will notify Buyer via email sent to address specified by Buyer.4.16 The Buyer receives notifications about order status via email as well as through their personal client account; additionally, notification services may be connected via local delivery provider site.

5. COST OF GOODS AND PAYMENT METHODS  5.1. The price of goods presented on the website https://teoky.com/ is indicated in rubles.5.2. The price of goods on the website https://teoky.com/ may be changed by the Seller unilaterally. However, the price for goods ordered by the Buyer is not subject to change, except in cases specified in paragraph 5.3.5.3. The Seller has the right to provide discounts on the price of goods according to the current promotions in the online store at the time of order placement. If the Buyer provides inaccurate (incorrect) information when placing an order, the Seller has the right to recalculate the amount of the provided discount from the price of the goods upon issuance and payment.5.4. Payment for goods can be made by any method available to the Buyer:5.4.1. By bank card when placing an order on the website using a payment system within no later than 30 (thirty) minutes from the moment of order placement;5.5. Payment for delivery is made by the Buyer via bank card when placing an order on the website using a payment system.5.6. In case of non-payment for goods within the timeframes specified in paragraphs 5.4.1 – 5.4.3, the order is automatically canceled.5.7. In case of refusal by the Buyer from the goods, when returning to the Buyer the amount of full payment made by the Buyer, any bank and other commissions paid by the Buyer in this regard are not compensated by the Seller.

6. WARRANTY, ORDER CANCELLATION, RETURN OF GOODS AND PREPAYMENTS 6.1. The warranty period for goods is 30 (thirty) days from the moment of transfer of goods to the Buyer.6.2. The warranty covers only manufacturing defects and does not cover defects resulting from: mechanical damage (scratches, tears, abrasions, etc.); exposure to extreme temperatures, solvents, acids, water; improper use (operation); natural wear and tear.6.3. Order cancellation procedure:6.3.1. In case of non-payment of the total cost of the order within the timeframes specified in paragraphs 5.4.1 – 5.4.3, the order is automatically canceled.6.3.2. For immediate cancellation of an order, the Buyer must contact the Seller by sending a message to the administrator on the official page of the Seller at CLIENTSERVICE@TEOKY.COM.6.3.3. The purchase and sale agreement is considered terminated automatically if full payment for the order is not received, as well as in cases provided for in paragraph 6.3.2.6.4. Funds paid by the Buyer with a bank card using electronic payment methods will be refunded within 30 (thirty) working days from the date of refusal by the Buyer from the order/termination of agreement to that account/bank card from which payment was made for the order. Refunds for orders paid with other payment methods (paragraphs 5.4.1 – 5.4.3 of this Agreement) will be made within 5 (five) working days from the date of submission by the Buyer of a corresponding application to the Seller’s store where payment was made.6.5. Goods of proper quality received by the Buyer can be exchanged or returned within 7 days after receipt.6.5.1 Goods of proper quality must be in marketable condition, with all accompanying gifts included with the order, packaging, and tags preserved; otherwise, the Seller has full right to refuse return/exchange.6.6. In case of detection of manufacturing defects, the Buyer undertakes to confirm this fact by conducting an examination; if positively confirmed by examination, return of goods is possible no later than 30 (thirty) days from receipt of such goods by Buyer.

7. LIABILITY 7.1. For non-fulfillment or improper fulfillment of their obligations under this Agreement, parties bear responsibility in accordance with applicable legislation of Russia.7.2. The total liability of the Seller under this Agreement is limited to the amount paid by Buyer under this Agreement.7.3. Without contradicting what is stated above, Seller is released from liability for breach of contract if such breach is caused by force majeure circumstances including: actions of government authorities (including adoption of legal acts), fire, flood, earthquake, other natural disasters, absence of electricity and/or failures in computer network operation, strikes, civil unrest, riots, any other circumstances that may affect performance under this Agreement.

8. OTHER TERMS 8.1 The Buyer agrees to give their consent for processing personal data by confirming acceptance of personal data confidentiality policy posted on website.8.2 The website https://teoky.com/ and provided services may temporarily be partially or fully unavailable due to preventive or other works or for any other technical reasons.8.3 In case questions or claims arise from Buyer’s side, they have right to contact Seller via sending a message to administrator at CLIENTSERVICE@TEOKY.COM All disputes arising will be attempted to be resolved through negotiations; if no agreement is reached, relevant dispute shall be resolved in court.
